1. Acceptance of Terms

By accessing or using the Omnio platform at getomn.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("you", "your") and Omnio ("we", "us", "our"). Your continued use of the Service after any changes to these Terms constitutes acceptance of the revised Terms.

2. Service Description

Omnio is a health data platform that:

• Aggregates health and fitness data from multiple wearable devices, sensors, and manual inputs.
• Stores your data in a unified time-series database.
• Provides dashboards, visualizations, and statistical analytics.
• Offers AI-powered insights and a conversational chat interface for querying your health data.
• Runs correlation analysis across your connected data sources.

The Service is provided on an "as is" and "as available" basis. We continuously improve and update the Service, which may include adding, modifying, or removing features.

3. Accounts & Registration

3.1 Account Creation

To use the Service, you must create an account with a valid email address and password. You must be at least 16 years of age to create an account.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us immediately if you suspect unauthorized access to your account.

We are not liable for any loss or damage arising from your failure to secure your account.

3.3 One Account Per Person

Each account is intended for a single individual. You may not share your account credentials or allow others to access your account.

4. Health Data & Disclaimers

4.1 Not Medical Advice

The Service is not a medical device and does not provide medical advice, diagnosis, or treatment. All health data, insights, correlations, and AI-generated content are for informational and educational purposes only.

You should always consult a qualified healthcare professional before making any decisions about your health, fitness, diet, or medical treatment based on information from the Service.

4.2 Data Accuracy

Health data is sourced from third-party devices and APIs. We do not guarantee the accuracy, completeness, or reliability of data from connected devices. Correlations and insights are statistical observations and should not be interpreted as causal relationships.

4.3 Your Data, Your Responsibility

You are responsible for the data you import into the Service, including ensuring you have the right to share any data you upload or connect. You retain ownership of your health data at all times.

5. AI Features

5.1 AI Chat

The Service includes an optional AI chat feature that can answer questions about your health data. AI responses are generated by third-party language models (OpenAI, Anthropic) and may contain errors, inaccuracies, or incomplete information.

5.2 AI Limitations

• AI responses are not medical advice and should not be used as a substitute for professional medical consultation.
• AI may produce incorrect or misleading responses. Always verify important information independently.
• AI features are subject to daily usage limits to ensure fair use and manage costs.

5.3 AI Data Processing

When you use the AI chat, your questions and relevant health context are processed by third-party AI providers under their API terms. See our Privacy Policy for details on how this data is handled.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the Service, other user accounts, or our infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools (bots, scrapers, etc.) to access the Service without our written permission.
• Interfere with or disrupt the Service or the servers and networks that host it.
• Impersonate another person or entity.
• Upload malicious content, malware, or any data intended to harm the Service or other users.
• Attempt to extract data from other users' accounts.
• Use the AI chat feature to generate harmful, abusive, or illegal content.
• Resell, sublicense, or redistribute the Service or any part of it without our written consent.

Violation of these terms may result in immediate account suspension or termination.

7. Intellectual Property

7.1 Our Property

The Service, including its design, code, algorithms, documentation, and branding, is the proprietary property of Omnio. All rights are reserved. You may not copy, modify, or create derivative works based on the Service.

7.2 Your Data

You retain all ownership rights to your health data. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you. This license terminates when you delete your data or account.

8. Third-Party Integrations

The Service integrates with third-party platforms (Oura, Garmin, Whoop, etc.). Your use of these integrations is also subject to the respective third party's terms of service and privacy policy. We are not responsible for:

• The availability, accuracy, or quality of third-party APIs.
• Changes to third-party services that affect data availability or functionality.
• Data handling practices of third-party services beyond what we directly control.

9. Payment & Billing

The Service is currently in beta and is free of charge. When paid plans are introduced:

• Pricing and plan details will be communicated in advance.
• Beta users will receive advance notice and favorable terms.
• Payment terms will be added to these Terms at that time.
• You will always have the option to export and delete your data before any pricing changes take effect.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we aim to provide advance notice).
• Unplanned outages or technical issues.
• Force majeure events beyond our reasonable control.

We are not liable for any loss or damage resulting from Service unavailability.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be error-free, secure, or uninterrupted.
• In no event shall Omnio be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or goodwill.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Omnio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third party's rights.
• Any health-related decisions you make based on information from the Service.

13. Termination

13.1 By You

You may delete your account at any time through the account settings. Upon deletion, all your data will be permanently removed within 30 days.

13.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if we reasonably believe your account poses a security risk. We will make reasonable efforts to notify you before termination, except in cases requiring immediate action.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be permanently deleted. Sections 4 (Health Data & Disclaimers), 7 (Intellectual Property), 11 (Limitation of Liability), and 12 (Indemnification) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service will be resolved through good-faith negotiation first. If negotiation fails, disputes will be submitted to binding arbitration, except where prohibited by law.
